Job Summary
We are seeking a dynamic and strategic Contracts Manager to lead our organization's contract management and legal compliance initiatives. In this pivotal role, you will oversee the entire lifecycle of contracts, from drafting and negotiation to execution and record-keeping. Responsibilities
- Lead the development, review, and negotiation of complex contracts across multiple business units, including procurement agreements, vendor contracts, and service level agreements.
- Manage the entire contract lifecycle using advanced document management systems such as Salesforce, DocuSign, ERP platforms like PeopleSoft, and other contract management tools.
- Ensure all contracts comply with applicable laws and regulations, including UCC law, Federal Acquisition Regulations (FAR), and other relevant legal standards.
- Collaborate with procurement teams to optimize purchasing strategies, pricing models, and proposal writing efforts that support business development initiatives.
- Oversee vendor management activities by evaluating vendor performance, managing contractor relationships, and conducting regular records management audits.
- Establish and maintain effective compliance management protocols to mitigate legal risks associated with contracts and procurement activities.
- Lead negotiations with vendors, contractors, and internal stakeholders to secure favorable terms while fostering long-term partnerships.
- Implement change management practices related to contractual amendments or modifications ensuring seamless updates within contract repositories.
- Conduct research on industry best practices in contract law such as intellectual property law, UCC law, and federal regulations to inform organizational policies.
- Develop strategic planning initiatives for contract processes that enhance efficiency and reduce cycle times across departments.
- Prepare technical writing documents including detailed contract drafts, legal summaries, and reports for executive review.
Experience
- Proven experience in contract management within a corporate or government environment with a focus on procurement, vendor relations, or legal compliance.
- Extensive knowledge of legal drafting techniques related to contracts, including familiarity with UCC law and FAR regulations.
- Demonstrated ability to negotiate complex agreements effectively while maintaining organizational objectives.
- Strong background in document review processes utilizing tools like Salesforce, DocuSign, ERP systems (PeopleSoft), and records management platforms.
- Experience managing contractor relationships and overseeing contractor management programs aligned with organizational policies.
- Familiarity with research methodologies related to legal standards such as intellectual property law and federal acquisition procedures.
- Prior experience in strategic planning for contract lifecycle improvements or process optimization initiatives is highly desirable.
- Excellent communication skills with the ability to articulate contractual terms clearly across diverse audiences—legal teams, vendors, internal stakeholders—and produce comprehensive technical documentation.
